Terms of Agreement

This Terms of Agreement establishes the binding contractual relationship between Limini SpA and Event Organizers or Professionals utilizing our platform.
1. Scope of Services
Limini SpA provides a digital ecosystem designed to connect event stakeholders, including but not limited to professionals, corporate organizers, and solution architects. Our services encompass directory listings, ticketing infrastructure, audience analytics, and payment facilitation. We do not act as a booking agency, employer, or talent manager for the professionals listed on the platform.
2. Charges, Platform Fee and Flow of Funds
Charges for services, tickets or bookings made through the platform are processed with Mercado Pago under a marketplace split model: the payment preference is created against the Mercado Pago account connected by the user who published the service or the event, who is the merchant of record for the transaction, and the money is credited to that account. Where an event is published on behalf of a company, the receiving account remains that of the user who created it and connected their own, unless the company connects its own account; how the two settle between themselves is outside Limini SpA. Limini SpA does not receive, hold or transfer the funds of the transaction, and there is no payout order and no balance claimable against Limini SpA: no user can ask Limini SpA to transfer money to them. The platform keeps an internal accounting record of earnings for information and reporting purposes; that record does not represent money held by Limini SpA and grants no right of withdrawal. Neither do we offer or guarantee any payout timeframe: when and how the credited money becomes available is determined by Mercado Pago under the terms of the seller's own account, not by Limini SpA. What Limini SpA earns is its platform fee, which Mercado Pago deducts from that same transaction as set out in the Pricing schedule, and which is calculated on the gross price of the transaction, not on the amount remaining after the Mercado Pago commission. Mercado Pago also charges its own commission on the same transaction: it is independent of the Limini SpA fee, is deducted from what is credited to the seller, and is not part of it. The Premium subscription is the one exception to all of the above: Limini SpA charges it directly into its own Mercado Pago account, because it is the price of our service and not a third party's funds. Limini SpA does not withhold taxes and does not issue tax documents on behalf of the seller: issuing the document and meeting the tax obligations of the transaction fall on whoever provides the service, and any withholding the law imposes on their client is agreed and settled outside the platform. 3. Service Availability
Limini is provided on an as-is basis and on a reasonable-efforts standard. We do not offer a Service Level Agreement: we do not commit to an uptime percentage, we do not operate a service-credit program, and there is no SLA claim procedure. None of our current plans includes commitments of that kind, and there is no Enterprise tier: what we offer today is the free plan and the Premium subscription, monthly or annual, as described in Pricing. We will make reasonable efforts to announce planned maintenance windows in advance and to communicate significant interruptions through the channels of the product. If we ever offer availability commitments, they will be published as a new version of this document, with its own effective date, in our version register.
4. Intellectual Property Rights
All platform architecture, code, branding, and proprietary algorithms remain the exclusive property of Limini SpA. Users retain all intellectual property rights to their uploaded content, including presentations, videos, and biographies. By uploading content, users grant Limini SpA a non-exclusive license to use and display said content for the purpose of fulfilling the core services of the platform.
5. Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by arbitration in the jurisdiction where Limini's primary legal entity is registered, before one arbitrator.
6. Term and Termination
This Agreement shall commence on the date the User registers an account and shall continue until terminated by either party. A User may terminate this agreement by deleting their account. Limini SpA may terminate or suspend this Agreement immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
