Terms of Agreement
Last Updated: October 2026
These Terms of Agreement establish the binding contractual relationship between Limini SpA and Event Organizers or Professionals utilizing our platform.
1. Scope of Services
Limini SpA provides a digital ecosystem designed to connect event professionals. Our services encompass directory listings, ticketing infrastructure, audience analytics, and payment facilitation. We do not act as a booking agency, employer, or talent manager for the professionals listed on the platform.
2. Charges, Platform Fee and Flow of Funds
Charges for services, tickets or bookings made through the platform are processed with dLocal Go, Limini SpA's payment processor, under a split-payment model: the payment is created with the dLocal Go payout account linked by the seller, and dLocal Go splits what is collected between that account and Limini SpA's. The seller is the merchant of record for the transaction: the user who published the service or the event or, where the event is published on behalf of a company, the company, which sells with its own payout account and not with that of the person who published it. To sell, a valid tax identifier of the country must be registered on the platform (in Chile, the RUT). Limini SpA does not receive, hold or transfer the funds that belong to the seller, and there is no payout order and no balance claimable against Limini SpA: no user can ask Limini SpA to transfer money to them. The platform keeps an internal accounting record of earnings for information and reporting purposes; that record does not represent money held by Limini SpA and grants no right of withdrawal. Neither do we offer or guarantee any payout timeframe: when and how the credited money becomes available is determined by dLocal Go under the terms of the seller's own account, not by Limini SpA. The price the seller sets is what the seller receives. A platform fee, paid by the customer, is added to that price: a percentage of the total the customer pays —the current one, today 12%, which is shown in the breakdown of every purchase before you pay— that already includes the tax that the law of the country applies to that fee (in Chile, the 19% VAT is included in that 12%). The platform fee includes the cost of dLocal Go's processing: the seller pays no commission to Limini SpA or to the processor for the sale and receives exactly their price. The customer sees the total, with its breakdown, from the first time they see the price. Limini SpA may apply a different percentage to certain sellers, events or services —for example, in a promotion—; each sale is charged the percentage in force at the time of purchase, which is recorded with it, and a later change does not alter sales already made. The seller may create discount coupons for their services or for the tickets to their events, of up to 90% of the price and one per purchase: the discount lowers the seller's price —and therefore what they receive— and the platform fee is calculated on the remaining price. Refunds of a sale are issued by the seller from their dLocal Go account, and the seller bears the refunds and chargebacks of their sales under dLocal Go's terms; what happens to the platform fee in a refund is set out in the Refund Policy. The Premium subscription and the Featured listing are the exception to all of the above: Limini SpA charges them directly into its own dLocal Go account, because they are the price of our services and not a third party's funds. Limini SpA does not withhold taxes and does not issue tax documents on behalf of the seller: the tax document for the price is issued by the seller to their customer, and meeting the tax obligations of the transaction falls on the seller; any withholding the law imposes on their customer is agreed and settled outside the platform. For the platform fee, Limini SpA issues the tax document required by applicable law, to whoever that law designates. Our Documentation page explains, with a worked example, who issues the document and who withholds the tax depending on who hires you. This clause describes how the platform operates and is not tax advice.
3. Service Availability
Limini is provided on an as-is basis and on a reasonable-efforts standard. We do not offer a Service Level Agreement: we do not commit to an uptime percentage, we do not operate a service-credit program, and there is no procedure for claims concerning service unavailability. None of our current plans includes commitments of that kind, and there is no Enterprise tier: what we offer today is the free plan and the Premium subscription, monthly or annual, as described in Pricing. We will make reasonable efforts to announce planned maintenance windows in advance and to communicate significant interruptions through the channels of the product. If we ever offer availability commitments, they will be published as a new version of this document, with its own effective date, in our version register.
4. Intellectual Property Rights
All platform architecture, code, branding, and proprietary algorithms remain the exclusive property of Limini SpA. Users retain all intellectual property rights to their uploaded content, including presentations, videos, and biographies. By uploading content, users grant Limini SpA a non-exclusive license to use and display said content for the purpose of fulfilling the core services of the platform.
5. Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to this Agreement shall be determined by arbitration in the jurisdiction where Limini's primary legal entity is registered, before one arbitrator.
6. Term and Termination
This Agreement shall commence on the date the User registers an account and shall continue until terminated by either party. A User may terminate this agreement by deleting their account. Limini SpA may terminate or suspend this Agreement immediately for any reason, including if you breach the Terms.
